1. Introduction

Welcome to Zoe Techno (Pty) Ltd ("Zoe Techno", "we", "us", "our"). These Terms and Conditions ("Terms") govern your access to and use of our website at www.zoetechno.co.za (the "Website") and any services, software, or products provided by Zoe Techno. By accessing or using our Website or services, you agree to be bound by these Terms. If you do not agree, please do not use our Website or services.

Zoe Techno is a private company registered in South Africa with registration number 2022/665872/07. Our registered address is Rondebult Extension 23, Germiston, Johannesburg, Gauteng, 1401.

2. Use of Our Website

You agree to use our Website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Website. Prohibited behaviour includes:

• Harassing, threatening, or causing distress to any other user;
• Transmitting obscene, offensive, or otherwise unlawful content;
• Attempting to gain unauthorised access to our systems or data;
• Using automated scripts or bots to interact with our Website without permission.

3. Services and Pricing

All services offered by Zoe Techno are described on our Website. Prices listed on our Pricing page are in South African Rand (ZAR) and are inclusive of VAT at 15% unless otherwise stated. Prices are subject to change without prior notice. Formal quotations provided to clients are valid for 30 days from the date of issue unless stated otherwise.

4. Company Registration Services

When you engage Zoe Techno for CIPC company registration services, the following additional terms apply:

• You are responsible for providing accurate and complete information. Zoe Techno is not liable for delays or rejection caused by inaccurate information provided by you.
• Express Online (BizPortal) registrations are completed within 24 hours but are subject to CIPC system availability. No refund is available once the application has been submitted electronically.
• Standard Assisted registrations are completed within 3-5 business days of receiving all required documents.
• Foreign passport registrations take longer due to manual CIPC processing and are priced accordingly.

5. KDS (Kitchen Display System) Subscription

Our KDS platform is provided on a Software-as-a-Service (SaaS) basis. By subscribing to KDS, you agree to the following:

• Subscription fees are billed monthly in advance at R 399 per month.
• You may cancel your subscription at any time. No refunds are provided for the remaining days of the current billing month. Cancellation takes effect at the end of your current paid period.
• We reserve the right to suspend or terminate access to the platform for non-payment or violation of these Terms.
• We do not guarantee uninterrupted or error-free operation of the platform but will make reasonable efforts to maintain uptime and performance.

6. Custom Software Development

For custom software projects (including display systems for schools, hospitals, retail, government, and warehouses):

• Pricing is quoted per project based on scope, complexity, and timeline. A formal quotation will be provided before work commences.
• Project milestones and payment schedules are defined in the quotation or separate Statement of Work (SOW).
• Intellectual property in custom software developed for you transfers to you upon full payment, except for Zoe Techno's underlying proprietary code and libraries.

7. Refund and Cancellation Policy

• AI Subscriptions (Starter, Growth, Business): Cancel anytime. No penalty for monthly plans. Refunds are not provided for partial months.
• Company Registration: 50% refund available if cancellation request is received before submission to CIPC. No refund after CIPC submission. For Express Online (BizPortal) registrations, no refund is available once the application has been submitted electronically.
• Website Development: Refund based on percentage of work not yet completed at the date of cancellation.
• Logo Design: 50% refund available if cancellation occurs before any work has commenced. No refund after concepts have been delivered.
• All refund requests must be submitted in writing to accounts@zoetechno.co.za. Refunds are processed within 7-14 business days via the original payment method.

8. Intellectual Property

All content on our Website, including text, graphics, logos, images, software, and code, is the property of Zoe Techno (Pty) Ltd and is protected by South African and international copyright laws. You may not reproduce, distribute, modify, or create derivative works of our content without our express written permission. Zoe Techno's trademarks, service marks, and trade names may not be used without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by South African law, Zoe Techno (Pty) Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses arising out of or in connection with your use of our Website or services. Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Disclaimer of Warranties

Our Website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our Website will be uninterrupted, error-free, or free of viruses or other harmful components. We make no representation or warranty regarding the accuracy, reliability, or completeness of any information provided through our Website.

AI agents provide information and assistance but do not constitute professional legal, financial, or medical advice. You should consult a qualified professional for such matters.

11. Indemnification

You agree to indemnify, defend, and hold harmless Zoe Techno (Pty) Ltd, its directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms, your use of our Website or services, or your violation of any rights of another party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, either party may refer the matter to arbitration in terms of the Arbitration Act 42 of 1965. Arbitration shall be held in Johannesburg, South Africa, in the English language.

13. POPIA Compliance

Zoe Techno complies with the Protection of Personal Information Act (POPIA) No. 4 of 2013. Personal information collected through our Website is processed in accordance with our Privacy Policy. Our Information Officer is Ingrid Maledimo, reachable at privacy@zoetechno.co.za.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our Website. Your continued use of our Website after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
